Terms of Service

By accessing or using hi5btc.xyz ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated terms.

To use hi5btc, you must:

• Be at least 18 years of age
• Be a resident of the United States (MVP phase limitation)
• Have a valid US phone number for Coinbase Onramp verification
• Not be prohibited from using cryptocurrency services under applicable law

By using the Service, you represent and warrant that you meet all eligibility requirements.

hi5btc enables users to purchase Bitcoin exposure through a $5 contribution. The Service:

• Processes payments via Coinbase Onramp (Apple Pay, debit card)
• Converts USD to USDC on the Base network
• Swaps USDC to cbBTC (Coinbase wrapped Bitcoin) via Uniswap V3
• Holds cbBTC in a transparent custody wallet on Base
• Issues receipts with participant numbers and sats allocations

cbBTC is a wrapped representation of Bitcoin on the Base network, backed 1:1 by Bitcoin held by Coinbase.

Each $5 purchase is allocated as follows:

• $0.10 - Platform operations fee
• $0.20 - Bonus pool contribution for milestone distributions
• $4.70 - Net amount used to purchase cbBTC

Additional fees may be charged by payment processors (Coinbase Onramp) depending on your payment method. Network gas fees for swaps are covered by the platform.

hi5btc does NOT use any lottery, raffle, or random selection mechanics.

Milestone distributions are entirely deterministic and rule-based:

• Milestones are triggered when Bitcoin's daily close price exceeds a published target
• All eligible participants receive distributions according to published formulas (e.g., pro-rata based on sats allocation)
• There are no "winners" or "losers" - only participants
• Distribution rules are published before the campaign begins and cannot be changed retroactively

Cryptocurrency involves significant risks. You may lose some or all of your contribution.

• Price Volatility: Bitcoin and cbBTC prices fluctuate significantly. Past performance does not guarantee future results.
• No FDIC Insurance: Cryptocurrency holdings are not insured by the FDIC or any government agency.
• Smart Contract Risk: The Service relies on smart contracts (Uniswap, Base network) that may contain bugs or vulnerabilities.
• Custody Risk: cbBTC is held in a custody wallet. While transparent and verifiable, custody involves inherent risks.
• Third-Party Dependencies: The Service depends on Coinbase, Uniswap, Base network, and CoinGecko. Failures in these services may affect the platform.
• Regulatory Risk: Cryptocurrency regulations may change, potentially affecting the Service.
• Tax Obligations: You are solely responsible for determining and paying any taxes on your cryptocurrency transactions.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability is limited to the amount you paid to use the Service
• We are not responsible for losses due to third-party service failures, network issues, or market conditions

You may not use the Service for:

• Money laundering or terrorist financing
• Sanctions evasion
• Fraud or illegal activities
• Circumventing eligibility requirements
• Automated or bot-driven purchases
• Any activity that violates applicable laws

We reserve the right to refuse service or terminate access for any suspected prohibited use.

Any disputes arising from these terms or the Service shall be resolved through binding arbitration, except for claims that qualify for small claims court.

You agree to waive your right to a jury trial and to participate in class action lawsuits.

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.
